STRIIPZ TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the STRIIPZ website, online store, products, services, subscriptions, and related features (collectively, the “Services”) provided by STRIIPZ LLC (“STRIIPZ,” “we,” “us,” or “our”).

By accessing or using the Services, placing an order, creating an account, or purchasing or subscribing to any STRIIPZ product, you agree to be bound by these Terms and our applicable policies, including our Privacy Policy, Shipping Policy, and Return and Refund Policy, each as amended from time to time.

If you do not agree to these Terms, do not use the Services or purchase STRIIPZ Products.

1. ELIGIBILITY

You must be at least 18 years old to use the Services, purchase STRIIPZ Products, or create an account.

By using the Services, you represent and warrant that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms;
  • the information you provide is accurate and complete; and
  • your use of the Services complies with applicable laws and regulations.

The Services are intended for use by adults in the United States.

2. DEFINITIONS

For purposes of these Terms:

“STRIIPZ,” “we,” “us,” or “our” means STRIIPZ LLC.

“Products” means dietary supplements, oral strips, and other products offered by STRIIPZ.

“Services” means the STRIIPZ website, online store, Products, subscriptions, customer support, content, features, and related services.

“Order” means a purchase of one or more Products through the Services.

“Subscription” means an automatically recurring purchase arrangement offered by STRIIPZ for eligible Products.

“You” or “your” means the person accessing the Services, placing an Order, or purchasing a Product.

3. USE OF THE WEBSITE

You agree to use the Services only for lawful purposes.

You may not:

  • violate any applicable law or regulation;
  • use the Services for fraudulent purposes;
  • interfere with the operation or security of the Services;
  • attempt to gain unauthorized access to our systems or accounts;
  • introduce malicious code, viruses, or other harmful material;
  • scrape, crawl, copy, or systematically extract website content except where expressly permitted;
  • impersonate STRIIPZ or another person or entity;
  • use another person's account or payment information without authorization;
  • use the Services to distribute spam or unsolicited commercial communications;
  • attempt to circumvent restrictions or security measures; or
  • otherwise use the Services in a manner that could harm STRIIPZ, its customers, or third parties.

We reserve the right to suspend or terminate access to the Services where we reasonably believe these Terms have been violated.

4. ACCOUNTS

Certain features may require you to create an account.

You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your login credentials;
  • maintaining the security of your account;
  • updating information when necessary; and
  • all activity occurring through your account, except to the extent caused by our own unauthorized actions.

You must notify us promptly if you believe your account has been compromised.

We may refuse registration, suspend, or terminate an account where reasonably necessary to protect the Services, STRIIPZ, our customers, or third parties.

5. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to display Products, descriptions, ingredients, pricing, availability, and other information accurately.

However:

  • colors and appearance may vary depending on your device;
  • packaging may change from time to time;
  • Product availability may change;
  • Product descriptions may be updated;
  • images may be illustrative; and
  • minor differences may exist between website representations and the physical Product.

The applicable Product label and packaging should be reviewed before use.

We reserve the right to:

  • modify Product formulations or packaging;
  • discontinue Products;
  • limit quantities;
  • limit sales to particular customers, geographic areas, or jurisdictions; and
  • correct Product or pricing information where an error has occurred.

Nothing on the Services guarantees that a Product will remain available.

6. DIETARY SUPPLEMENTS

STRIIPZ Products are marketed as dietary supplements.

STRIIPZ Products are not drugs and are not intended to diagnose, treat, cure, or prevent any disease.

Statements made about dietary supplements have not been evaluated by the U.S. Food and Drug Administration unless expressly stated otherwise.

Product information provided through the Services is intended for general informational purposes and should not be interpreted as medical advice, diagnosis, or treatment.

You should read the applicable Product label, ingredients, directions, warnings, and other information before using a Product.

7. PRODUCT SAFETY AND RESPONSIBLE USE

You are responsible for using Products according to the applicable Product label and directions.

You agree to:

  • follow the suggested use provided on the Product label;
  • not exceed the recommended serving or daily amount;
  • review the ingredients before use;
  • discontinue use if you experience an adverse reaction and seek appropriate medical attention when necessary; and
  • consult a qualified healthcare professional if you have questions about whether a Product is appropriate for you.

If you are pregnant or nursing, have a medical condition, take prescription or over-the-counter medications, or have other health-related concerns, consult a qualified healthcare professional before using a Product.

Product-specific warnings and directions may vary between Products. Where the Product label contains more specific instructions, warnings, or precautions, those Product-specific instructions control.

Products should be kept out of reach of children.

Do not use a Product if its packaging or safety seal indicates that the Product has been damaged, opened, or compromised.

8. NO MEDICAL ADVICE

Nothing on the Services constitutes medical, nutritional, pharmaceutical, or other professional advice.

Information concerning ingredients, nutrition, wellness, or Products is provided for general informational purposes only.

You should not rely on information provided through the Services as a substitute for consultation with a qualified healthcare professional.

You are responsible for determining whether a Product is appropriate for you.

9. ORDERS

When you place an Order, you are making an offer to purchase the selected Products.

An Order is not necessarily accepted merely because:

  • you receive an order confirmation;
  • your payment method is authorized;
  • your payment is processed; or
  • the Order appears in your account.

We may accept, reject, limit, or cancel Orders where reasonably necessary, including due to:

  • Product availability;
  • pricing or listing errors;
  • suspected fraud;
  • suspected unauthorized activity;
  • shipping restrictions;
  • payment issues;
  • quantity limitations; or
  • other legitimate business or legal reasons.

If we cancel an Order after payment has been collected, we will generally refund the amount paid for the cancelled portion of the Order.

10. PRICING AND PAYMENT

Prices displayed through the Services are subject to change.

The price applicable to an Order is generally the price displayed at the time the Order is submitted, subject to correction of obvious pricing errors and applicable law.

Applicable taxes and other charges, if any, will be displayed during checkout where required or applicable.

You agree to provide accurate and current payment and billing information.

You authorize the applicable payment provider to charge your selected payment method for:

  • the purchase price;
  • applicable taxes;
  • applicable shipping charges; and
  • other charges properly disclosed during checkout.

We do not guarantee that any particular payment method will remain available.

11. PRICING ERRORS

Despite our efforts to maintain accurate pricing information, errors may occur.

If a Product is listed at an incorrect price due to a typographical, technical, system, or other error, we may cancel or correct the affected Order, subject to applicable law.

If payment has already been collected for an Order that we cancel because of a pricing error, we will generally issue a refund for the amount paid.

12. SUBSCRIPTIONS AND AUTOMATIC RENEWALS

STRIIPZ may offer recurring Subscription purchases for eligible Products.

Subscription availability, frequency, pricing, and other terms may vary depending on the Product and purchasing method.

12.1 Enrollment

Where a Subscription is offered, the enrollment process will provide the material terms applicable to the Subscription, including, as applicable:

  • the Product or Products included;
  • the initial price;
  • the recurring price;
  • billing or delivery frequency;
  • applicable shipping charges;
  • applicable taxes;
  • promotional or introductory pricing;
  • the automatic-renewal nature of the Subscription; and
  • applicable cancellation terms.

You must affirmatively choose or otherwise authorize the Subscription in the manner presented during enrollment.

A Subscription will not be created merely because you purchase a Product unless the enrollment process clearly discloses the recurring arrangement and you provide the required authorization.

12.2 Automatic Renewal

Unless otherwise stated during enrollment, an active Subscription will automatically renew according to the frequency disclosed at enrollment until cancelled.

At each renewal, the applicable recurring amount will be charged to your authorized payment method, subject to any applicable price changes, taxes, shipping charges, or other amounts disclosed in accordance with applicable law.

12.3 Promotional Pricing

If a Subscription begins with a promotional, discounted, or introductory price, the enrollment disclosure will identify the applicable recurring price or pricing structure before you authorize the Subscription.

12.4 Cancellation

You may cancel a Subscription using the cancellation method made available through the Services or by contacting STRIIPZ customer support where applicable.

Cancellation of a Subscription prevents future renewals after the cancellation becomes effective. It does not automatically cancel an Order that has already been processed, shipped, or otherwise become non-cancellable.

Refund eligibility for processed Subscription Orders is governed by our Return and Refund Policy and applicable law.

12.5 Failed Payments

If a renewal payment fails, STRIIPZ or its payment/subscription provider may attempt to process the payment again or otherwise address the failed transaction.

We may suspend or cancel a Subscription if payment cannot be successfully collected.

12.6 Subscription Changes

If we change material Subscription terms, including recurring pricing or other terms requiring advance notice under applicable law, we will provide notice and any applicable cancellation opportunity required by law.

We will not rely on these Terms to eliminate any non-waivable consumer rights concerning automatic renewals.

13. SHIPPING

STRIIPZ currently ships within the United States only.

Standard shipping is currently offered free for eligible U.S. Orders.

Shipping availability, delivery estimates, and any expedited shipping options or charges will be displayed during checkout and described in our Shipping Policy.

Shipping and delivery estimates are estimates and may be affected by circumstances outside our reasonable control, including carrier delays, severe weather, natural disasters, holidays, or other disruptions.

Nothing in these Terms limits any rights you may have under applicable law concerning delayed, undelivered, or cancelled Orders.

14. RETURNS AND REFUNDS

STRIIPZ currently offers a 30-day return/refund period, subject to the conditions and exclusions described in our Return and Refund Policy.

The Return and Refund Policy governs eligibility, return conditions, refunds, exchanges, damaged Products, missing Products, and related procedures.

For Subscription Orders, cancelling a Subscription prevents future renewals but does not automatically cancel or refund an Order that has already been processed.

Nothing in these Terms limits any refund or cancellation rights that cannot lawfully be waived.

15. CANCELLATION OF ORDERS

If you need to cancel an Order, contact STRIIPZ customer support as soon as possible.

We will make reasonable efforts to accommodate cancellation requests received before an Order is processed or shipped.

Once an Order has been processed or shipped, cancellation may no longer be possible, and the Return and Refund Policy will govern available remedies.

16. PROMOTIONS, DISCOUNTS, AND COUPONS

From time to time, STRIIPZ may offer promotional codes, discounts, bundles, or other promotional offers.

Unless expressly stated otherwise:

  • promotions may have additional terms;
  • promotions may be limited to one use per customer;
  • promotions may not be combined;
  • promotions may have expiration dates;
  • promotions may be limited to eligible Products;
  • promotions may not be transferable; and
  • promotions may be modified or withdrawn subject to applicable law.

If a promotional offer includes an introductory Subscription price, the applicable recurring price and renewal terms will be disclosed as required before enrollment.

17. BUNDLES AND MULTI-PRODUCT OFFERS

STRIIPZ may offer bundles or discounts based on the number or combination of Products purchased.

Bundle eligibility, pricing, discounts, and exclusions will be displayed with the applicable offer.

Unless expressly stated otherwise, bundle discounts cannot be combined with other promotional offers.

18. RESALE AND COMMERCIAL USE

Unless expressly authorized by STRIIPZ in writing, Products purchased through the Services are intended for personal use.

You may not commercially resell, redistribute, repackage, relabel, modify, or otherwise market STRIIPZ Products without our prior written authorization.

We reserve the right to refuse or cancel Orders that we reasonably believe are intended for unauthorized resale or commercial redistribution.

19. REVIEWS AND USER-GENERATED CONTENT

The Services may allow customers to submit reviews, photographs, videos, comments, testimonials, or other content (“User Content”).

You are responsible for User Content you submit.

You agree that User Content must:

  • be truthful and based on your actual experience;
  • not contain false or misleading statements;
  • not impersonate another person;
  • not infringe another person's intellectual property, privacy, publicity, or other rights;
  • not contain unlawful, defamatory, threatening, obscene, or abusive material;
  • not contain malicious code; and
  • comply with applicable law.

You must not submit a review or testimonial in exchange for compensation or another benefit where the arrangement requires or conditions the content on a particular positive sentiment.

You must not submit a review for a Product you have not actually used.

You must disclose material connections or incentives where disclosure is required by law.

STRIIPZ may moderate, remove, or decline to publish User Content that violates these Terms or applicable law.

20. LICENSE TO USER CONTENT

You retain ownership of User Content that you submit.

By submitting User Content to STRIIPZ, you grant STRIIPZ a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, display, distribute, adapt, format, publish, and otherwise use that User Content in connection with operating, promoting, marketing, and improving the Services and STRIIPZ business.

This license does not transfer ownership of your User Content to STRIIPZ.

You represent that you have the necessary rights and permissions to grant this license.

21. AFFILIATE AND CREATOR PROGRAMS

STRIIPZ may operate affiliate, ambassador, creator, referral, or similar programs.

Participants must comply with:

  • these Terms;
  • applicable program-specific terms;
  • applicable advertising laws;
  • applicable disclosure requirements; and
  • STRIIPZ's reasonable marketing and brand guidelines.

Affiliates and creators may not make health, safety, efficacy, disease-treatment, or other Product claims that STRIIPZ itself could not lawfully make.

Affiliates and creators must clearly disclose material relationships with STRIIPZ when required by law.

STRIIPZ may suspend or terminate participation in an affiliate or creator program for violations of applicable requirements.

22. INTELLECTUAL PROPERTY

The Services and their contents, including, without limitation:

  • STRIIPZ trademarks and logos;
  • product names;
  • website design;
  • text;
  • graphics;
  • photographs;
  • videos;
  • illustrations;
  • software;
  • layouts;
  • page designs;
  • original content; and
  • other materials,

are owned by or licensed to STRIIPZ and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or applicable law, you may not:

  • reproduce;
  • modify;
  • distribute;
  • publicly display;
  • publicly perform;
  • create derivative works from;
  • sell;
  • license;
  • commercially exploit; or
  • otherwise use

STRIIPZ intellectual property without our prior written permission.

23. TRADEMARKS

STRIIPZ, its logos, product names, slogans, designs, and other brand identifiers may constitute trademarks or trade dress of STRIIPZ or its licensors.

You may not use STRIIPZ trademarks in a manner that:

  • implies endorsement or sponsorship without authorization;
  • creates confusion regarding affiliation;
  • disparages STRIIPZ; or
  • otherwise violates applicable law.

24. FEEDBACK

If you voluntarily provide suggestions, ideas, comments, or other feedback regarding the Services (“Feedback”), you grant STRIIPZ the right to use, reproduce, modify, and incorporate that Feedback without restriction or compensation to you.

Providing Feedback does not transfer ownership of unrelated intellectual property you may have.

25. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or contain links to third-party websites, applications, payment processors, shipping providers, social media platforms, analytics services, advertising services, subscription providers, or other third-party services.

Third-party services may be governed by their own terms and privacy policies.

STRIIPZ does not control and is not responsible for third-party services, including their availability, content, policies, security, or practices, except to the extent responsibility cannot lawfully be excluded.

Your use of third-party services may be subject to additional terms imposed by the applicable third party.

26. SHOPIFY

Our online store is hosted and powered by Shopify.

Shopify provides the technology infrastructure that allows us to offer the Services, including portions of the storefront, checkout, payment processing integrations, customer accounts, and related functionality.

Your use of Shopify-powered functionality may also be subject to Shopify's applicable terms and policies.

STRIIPZ remains responsible for its own Products, representations, policies, and obligations as described in these Terms.

27. PRIVACY

Your privacy is important to us.

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

By using the Services, you acknowledge that your information may be collected and processed as described in that policy.

Our Privacy Policy forms part of these Terms by reference.

28. PROHIBITED ACTIVITIES

In addition to the restrictions described elsewhere in these Terms, you may not use the Services to:

  • engage in fraudulent or deceptive activity;
  • violate applicable laws;
  • infringe intellectual-property rights;
  • interfere with website operation;
  • circumvent security or access controls;
  • collect information about other users without authorization;
  • transmit malware or harmful code;
  • conduct unauthorized automated activity;
  • exploit vulnerabilities;
  • manipulate reviews or ratings;
  • impersonate STRIIPZ or another person;
  • misrepresent an affiliation with STRIIPZ;
  • use STRIIPZ content to create a competing service without authorization; or
  • engage in conduct that could reasonably harm STRIIPZ, our customers, or third parties.

29. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate your access to all or part of the Services if we reasonably believe that:

  • you violated these Terms;
  • your activity creates a security or legal risk;
  • your account is being used fraudulently;
  • your conduct harms STRIIPZ or another person; or
  • suspension is otherwise reasonably necessary to protect the Services or comply with law.

Termination does not affect rights or obligations that accrued before termination.

Sections that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, disputes, and governing law.

30. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

STRIIPZ DISCLAIMS WARRANTIES THAT CANNOT BE EXCLUDED BY LAW, AND OTHERWISE DISCLAIMS IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.

We do not warrant that:

  • the Services will always be available;
  • the Services will be uninterrupted or error-free;
  • information on the Services will always be complete or current;
  • defects will always be corrected;
  • the Services will be free of harmful components; or
  • any particular Product or Service will produce a particular result.

Nothing in these Terms excludes or limits a warranty or consumer protection right that cannot legally be excluded or limited.

31. PRODUCT RESULTS DISCLAIMER

Individual experiences and results from dietary supplements may vary.

STRIIPZ does not guarantee that a Product will produce a particular result for any individual.

Any descriptions of benefits, features, ingredients, or expected effects are subject to the applicable Product labeling, substantiation, and applicable law.

Testimonials and User Content represent the experiences or opinions of the individuals providing them and are not guarantees of results.

32. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRIIPZ AND ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRIIPZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO STRIIPZ FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. US $100.

This limitation does not apply to the extent prohibited by applicable law.

Nothing in these Terms limits liability for:

  • fraud or fraudulent misrepresentation;
  • willful misconduct;
  • gross negligence where such liability cannot lawfully be limited;
  • death or personal injury to the extent liability cannot lawfully be excluded or limited;
  • intentional violations of law where liability cannot lawfully be limited; or
  • any other liability that cannot legally be excluded or limited.

Nothing in these Terms limits any non-waivable consumer rights or remedies.

33. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless STRIIPZ and its owners, members, officers, directors, employees, agents, contractors, affiliates, and service providers from third-party claims, liabilities, damages, losses, judgments, costs, and reasonable attorneys' fees arising out of or relating to:

  • your material breach of these Terms;
  • your unlawful use of the Services;
  • your fraud, intentional misconduct, or negligent misconduct;
  • your User Content;
  • your infringement or alleged infringement of another person's intellectual-property, privacy, publicity, or other rights; or
  • your violation of applicable law.

STRIIPZ will provide reasonably prompt notice of a covered claim when practicable.

STRIIPZ may participate in the defense of a claim with counsel of its choice.

You may not settle an indemnified claim in a manner that:

  • admits wrongdoing by STRIIPZ;
  • imposes liability or obligations on STRIIPZ; or
  • requires STRIIPZ to make a payment,

without STRIIPZ's prior written consent.

You will reasonably cooperate with the defense of an indemnified claim.

Nothing in this section requires you to indemnify STRIIPZ to the extent the claim resulted from STRIIPZ's own conduct for which indemnification cannot lawfully be required.

34. FORCE MAJEURE

STRIIPZ will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

  • natural disasters;
  • severe weather;
  • epidemics or pandemics;
  • war;
  • terrorism;
  • civil unrest;
  • governmental actions;
  • labor disruptions;
  • transportation disruptions;
  • supply-chain disruptions;
  • utility or telecommunications failures;
  • internet outages;
  • cyber incidents caused by third parties;
  • carrier delays; or
  • other events beyond our reasonable control.

This provision does not eliminate any refund, cancellation, shipping, or other consumer rights that cannot lawfully be excluded.

35. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from STRIIPZ regarding your Orders, account, subscriptions, transactions, and other matters relating to the Services.

Transactional communications may include:

  • order confirmations;
  • shipping notifications;
  • delivery updates;
  • subscription confirmations;
  • subscription cancellation confirmations;
  • payment notifications;
  • account communications; and
  • customer-service communications.

Marketing communications are subject to applicable consent and opt-out requirements.

You may unsubscribe from marketing emails using the unsubscribe mechanism included in the applicable communication.

We may provide notices to you through email, your account, the Services, or other reasonable electronic means.

37. GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent applicable law requires another jurisdiction's law to apply.

Nothing in this section is intended to deprive consumers of mandatory protections or rights provided by the laws that apply to them.

38. DISPUTE RESOLUTION

If you have a dispute or concern regarding the Services or a Product, we encourage you to first contact us at:

Please provide sufficient information for us to understand and investigate the issue.

We will make reasonable efforts to resolve disputes informally before either party pursues formal legal proceedings.

If a dispute cannot be resolved informally, it may be brought in a court of competent jurisdiction.

To the extent permitted by applicable law, the parties agree that applicable disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming, subject to any mandatory consumer venue rights or other requirements that cannot legally be waived.

These Terms do not require mandatory arbitration.

39. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

40. WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

A waiver must be made expressly and in writing to be effective.

41. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by law.

STRIIPZ may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.

42. ENTIRE AGREEMENT

These Terms, together with the policies and documents expressly incorporated by reference, constitute the agreement between you and STRIIPZ concerning your use of the Services.

If there is a conflict between these Terms and a specific Product policy or transaction-specific disclosure, the more specific provision will generally control with respect to that subject matter, subject to applicable law.
